WireSyndicate Terms of Service

Effective Date: July 14, 2026

Welcome to WireSyndicate. These Terms of Service ("Terms") govern your access to and use of the WireSyndicate programmatic spatial network, Edge Delivery APIs, Unity SDK, and dashboard interfaces (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms.

1. Business-to-Business (B2B) Designation

WireSyndicate is strictly a Business-to-Business (B2B) platform. By registering an account as either a "Brand" (Demand-Side) or "Developer" (Supply-Side), you represent and warrant that you are doing so on behalf of a valid business entity and possess the legal authority to bind that entity to these Terms.

2. Financial Clearing & Identity Verification (KYC)

WireSyndicate utilizes Stripe Connect for all financial escrow, payout routing, and Know Your Customer (KYC) identity verification.

  • No Tax Liability: WireSyndicate does not store your Tax Identification Numbers (TIN), Social Security Numbers (SSN), or banking credentials on our bare-metal infrastructure.
  • Stripe Agreement: All payouts and account funding are strictly governed by the Stripe Connected Account Agreement. WireSyndicate assumes no liability for delayed funds, frozen accounts, or failed clearings caused by Stripe's compliance engine.

3. Demand-Side (Brands): Asset IP and Network Licensing

By uploading 3D meshes (e.g., .glb, .gltf) or campaign assets to the Platform:

  • Indemnification: You warrant that you own or possess the necessary licenses for all Intellectual Property (IP) contained within the asset. You agree to indemnify and hold WireSyndicate harmless against any copyright, trademark, or IP infringement claims arising from your assets.
  • Spatial License: You grant WireSyndicate a worldwide, royalty-free license to host, modify (for optimization purposes), and distribute your assets to edge delivery nodes and end-user game environments for the duration of your active campaigns.

4. Content Moderation & The Global Kill-Switch

WireSyndicate maintains a Zero-Tolerance policy for illicit, explicit, or mathematically malicious 3D assets.

  • We reserve the uncontested right to execute a "Global Asset Kill-Switch" on any asset that violates our Trust & Safety guidelines.
  • Assets terminated via the Kill-Switch are immediately purged from the live spatial network. WireSyndicate will not issue refunds for remaining campaign budgets associated with terminated illicit assets.

5. Supply-Side (Developers): Telemetry & Payouts

Developers integrating the WireSyndicate Unity SDK agree to the following programmatic contracts:

  • Valid Impressions: Telemetry is only considered valid and billable if it meets our strict geometric thresholds (currently defined as durationMs > 1500 and screenCoverage > 0.015).
  • Anti-Fraud: Any attempt to spoof, automate, or artificially inflate telemetry payloads will result in immediate network banishment and forfeiture of all pending escrowed funds.

6. Limitation of Liability & "As-Is" Provision

The Platform is provided "AS IS" and "AS AVAILABLE". WireSyndicate disclaims all warranties, express or implied, including fitness for a particular purpose. WireSyndicate shall not be liable for any indirect, incidental, or consequential damages, including lost profits or lost data, arising out of your use of the Platform or Unity SDK.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Minnesota, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

9. Financial Escrow, Refunds, and Chargeback Liability

Escrow Workflow and Verification WireSyndicate operates a high-frequency, telemetry-driven exchange. Upon the execution of a programmatic bid, capital from the Demand-side (Brand) is instantly locked in a cryptographic escrow protocol. These funds are held in state until our internal node network mathematically verifies successful 3D asset delivery to the Supply-side (Developer) client environment. Once telemetry confirmation is achieved, the transaction is immutable.

Fraudulent Chargebacks Prohibited (Demand-Side) Brands acknowledge that all asset deliveries verified by our telemetry network are final. Initiating a bank-level chargeback or dispute following a cryptographically verified delivery constitutes a material breach of this agreement. WireSyndicate will aggressively contest unauthorized chargebacks using granular telemetry logs, SDK packet data, and timestamped network receipts.

Liability and Clawbacks (Supply-Side) To protect the integrity of the ecosystem, Developers must assume liability for catastrophic chargebacks, network fines, or protracted disputes originating from their placements. In the event of a disputed transaction, WireSyndicate reserves the unilateral right to reverse historical payouts, execute clawbacks, or deduct disputed balances directly from your future programmatic earnings.

10. Acceptable Use & Restricted Business Categories

Zero-Tolerance Acceptable Use Policy (AUP) The WireSyndicate Edge Network is a premium environment. We enforce a strict, zero-tolerance Acceptable Use Policy prohibiting the monetization, promotion, or distribution of high-risk or restricted categories.

Restricted Categories You are strictly prohibited from utilizing our network infrastructure in connection with the following:

  • Illegal products, services, or narcotics.
  • Adult content, explicit materials, or NSFW media.
  • Unregulated gambling, betting, or high-risk financial instruments.
  • State-sponsored violence, extremism, or hate speech.
  • Malware, hacking utilities, or malicious cyber-weapons.

Enforcement Protocol WireSyndicate utilizes a combination of automated heuristic overwatch and manual threat-hunting to enforce these parameters. We reserve the right to instantly terminate network access, sever SDK connections, and permanently ban any account found in violation of this AUP, without prior warning or right to appeal.

11. Financial Support & Risk Remediation

Inquiry Channels All inquiries regarding financial routing, delayed payouts, or escrow disputes must be directed to our centralized compliance channel at billing@wiresyndicate.com or initiated securely via the internal Admin Message Center within your dashboard.

Risk Audits and Remediation If our automated risk-management engines flag your account for suspicious activity, anomalous telemetry, or compliance violations, a temporary lock will be placed on your escrow balances. To achieve remediation, the Developer or Brand must authenticate via the Trust & Safety Appeals dashboard and provide the required legal context or KYC documentation.

Failure to Comply Failure to comply with an active risk management audit within 14 days will result in permanent network expulsion, immediate termination of your API keys, and the unconditional forfeiture of all pending escrow balances to cover systemic damage.

Section 4. Delivery Limitations and "Best-Effort" Acknowledgment

4.1 Spatial Delivery and Impressions: Advertiser acknowledges that the WireSyndicate network serves media into dynamic, interactive 3D environments. WireSyndicate utilizes proprietary spatial telemetry to verify impressions; however, due to the unpredictable nature of user interaction, camera manipulation, and dynamic object occlusion within digital environments, WireSyndicate makes no guarantee regarding the frequency, volume, or 100% unobstructed visibility of any single placement. All ad delivery is executed on a "best-effort" basis. Advertisers are billed solely on verified telemetry thresholds, not expected environmental delivery.

4.2 Geographical Targeting Constraints: Geographical targeting features are provided based on commercially available IP-to-location edge routing data. Advertiser acknowledges that technologies such as Virtual Private Networks (VPNs), proxy servers, and ISP routing anomalies may result in geographical misattribution. WireSyndicate disclaims any liability for impressions delivered outside of the target geography due to such client-side masking or edge-network limitations.
